This role is for a Commercial Lawyer with EMEA experience. You must be a qualified Commercial Lawyer, ideally with experience in Insurance or similar Corporate environment.

Purpose of the role
My client is seeking an individual to join their EMEA legal department to help provide in-house, hands-on and management support to multiple areas of the business. You will be responsible for reporting to and assisting the EMEA General Counsel, providing creative and practical legal guidance on a wide range of legal, corporate compliance, management and business matters involving the organisation

Commercial Lawyer with EMEA Requirements:

- Law degree from accredited university and 2 years PQE in a corporate law firm, corporation or both.
- Proven background in corporate law M&A; joint ventures; strategic investing: and private/ public debt and equity financing (both domestic and cross-border)
- Experience in advising listed companies. Experience with NYSA-listed companies and/or companies in the insurance industry, financial services industry or a comparable industry
- Management experience, including working collaboratively with senior management, managing in-house legal staff and managing outside counsel.
- Experience developing legal department budgets and managing operations and performance in compliance with budget
- Solid judgment and business acumen and understanding of business operations and corporate governance issues. In this connection, candidates will demonstrate a solid understanding of how U.S laws are applicable to public companies
- Self-motivated and efficient, with good business judgement analytics skills.
- Forward-thinking and creative, with the confidence to present and advocate for the implementation on ideas.
- Able to explain complex, challenging issues in a clear manner to all levels of the organisation,
- Excellent writing skills, particularly to assist a non-legal audience in understanding complex legal and regulatory requirements.

Commercial Lawyer with EMEA Responsibilities:

- Manage all EMEA legal operations for the organisation, working closely with country managers as well as finance, sales, human resources and other personnel.
- Ensure the quality and timeliness of legal advice to internal business clients and senior management on a broad range of legal, business and management matters.
- Responsible for corporate and securities transactions, including: M&A; joint ventures; strategic investing: and private/public debt and equity financing (both domestic and cross-border).
- Manage corporate and securities law matters, including: corporate governance and SOX compliance; public company disclosure issues; and drafting and administering employee long-term incentive plans.
- Oversee other EMEA legal department staff.
- Negotiate and draft customer and vendor agreements and other commercial agreements, including: inbound and outbound data and software licenses; master license agreement; and master service agreements.
- Provide professional and effective services to internal and/or external customers, to meet customer expectations, particularly in terms of quality and timeliness in line with departmental standards, procedures and guidelines.
- Communicate courteously with internal and/or external customers by telephone, email and face to face, building positive relationships, investigating, responding to and progressing issues and queries to a successful conclusion at the earliest time.
